1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the website [www.prakritisgarden.com] and any related pages, sub-domains, mobile interfaces and services (collectively, the "Website"), and any purchase of products through it.

2. Definitions

For the purpose of these Terms:

• "Products" means live plants, saplings, seeds, bulbs, planters, pots, soil, growing media, fertilisers, gardening tools, accessories, gift items and any other goods listed for sale on the Website.
• "Order" means a request submitted by you through the Website to purchase one or more Products.
• "Content" means all text, images, photographs, illustrations, graphics, videos, product descriptions, care guides, blog articles, logos, designs and software made available on the Website.
• "User Content" means reviews, ratings, photographs, comments, questions or other material submitted by you to the Website.

3. Eligibility

3.1 You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to register an account or place an Order.

3.2 If you are under 18, you may use the Website only under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.3 By using the Website you represent that you are not barred from receiving services under any applicable law and that all information you supply is true, accurate, current and complete.

3.4 We currently ship only within the territory of India. Orders with a delivery address outside India will not be accepted.

4. Account Registration

4.1 You may browse the Website as a guest, but certain features and a faster checkout require you to create an account.

4.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at [support@prakritisgarden.com] of any unauthorised use.

4.3 We may suspend, restrict or terminate your account at our discretion if we reasonably believe you have breached these Terms, supplied false information, or engaged in fraudulent or abusive conduct.

4.4 You may request deletion of your account at any time by writing to us. Deletion does not affect Orders already placed or our obligation to retain records under applicable law.

5. Products, Listings and the Nature of Living Goods

5.1 Living products. A substantial portion of our catalogue consists of live plants, saplings, seeds and other horticultural goods. These are natural, living items and are therefore inherently variable.

5.2 Natural variation. Photographs, illustrations and videos on the Website are indicative only. The plant you receive may reasonably differ from the image shown in height, spread, leaf count, leaf colour, flowering stage, branching pattern, pot shade and finish. Such variation is a natural characteristic of the Product and does not constitute a defect.

5.3 Transit stress. Live plants may exhibit temporary transit stress on arrival — including leaf droop, minor leaf drop, yellowing of lower leaves, or soil displacement. This is normal and typically resolves with appropriate care. Detailed care instructions are provided with your shipment and on the relevant product page.

5.4 Seeds and germination. Seeds and bulbs are sold subject to natural germination rates. Germination depends on sowing method, soil, water, temperature, season and local conditions that are outside our control. We do not warrant any specific germination percentage, growth rate, flowering, fruiting or yield.

5.5 Care guidance is advisory. Plant care guides, blog articles, seasonal calendars and any horticultural advice published on the Website or shared by our team are general in nature and offered in good faith. They do not amount to a professional agronomic or horticultural guarantee, and outcomes will vary by location, climate and care practice.

5.6 Safety. Certain plants may be toxic if ingested, may cause skin or eye irritation on contact with sap, or may trigger allergies. Where we are aware of such properties, we endeavour to note them on the product page. You are responsible for keeping plants, seeds, fertilisers and chemical products out of the reach of children and pets and for exercising ordinary care in handling them.

5.7 Availability and accuracy. All Products are subject to availability. We make reasonable efforts to keep descriptions, dimensions, botanical names, prices and stock levels accurate, but do not warrant that listings are error-free. We reserve the right to correct errors, update information and modify or discontinue any Product at any time without prior notice.

6. Pricing, Taxes and Payment

6.1 All prices are listed in Indian Rupees (INR / ₹) and are inclusive of applicable Goods and Services Tax (GST) unless expressly stated otherwise on the product page or at checkout.

6.2 Shipping charges, handling charges, cash-on-delivery fees or packaging charges (if any) are additional and will be displayed before you confirm the Order.

6.3 Prices are subject to change without notice. The price applicable to your Order is the price displayed at the time your Order is confirmed.

6.4 Pricing errors. In the event a Product is listed at an incorrect price due to a technical, typographical or human error, we reserve the right to cancel the Order and refund any amount already paid, whether or not the Order has been confirmed or dispatched.

6.5 Payments are processed through third-party payment gateways and providers. We do not store your complete card, bank or UPI credentials. Your use of a payment gateway is additionally governed by that provider's own terms and privacy policy.

6.6 By submitting payment details, you represent that you are authorised to use the payment instrument concerned.

6.7 We are not liable for any failure, delay, interruption or decline arising at the level of your bank, card issuer, UPI application or payment gateway.

7. Orders, Acceptance and Cancellation

7.1 Product listings on the Website constitute an invitation to offer. Your Order is an offer to purchase.

7.2 An automated order acknowledgement email or SMS confirms receipt of your Order; it does not constitute acceptance. The contract of sale is formed only when we dispatch the Products or expressly confirm acceptance.

7.3 We may decline or cancel an Order, in whole or in part, including where: (a) the Product is out of stock or the plant does not meet our dispatch quality standards; (b) there is a pricing, listing or system error; (c) the delivery PIN code is not serviceable, or is unsuitable for live plants due to transit duration or climate conditions; (d) the Order is suspected to be fraudulent, or is a bulk or resale order placed through the retail channel; (e) delivery is prevented by weather, regulatory restriction, or a quarantine or plant-movement restriction in your state.

7.4 Where we cancel a prepaid Order, the amount paid will be refunded to the original payment method in accordance with our Return & Refund Policy.

7.5 Customer cancellation. You may request cancellation of an Order before dispatch by writing to [support@prakritisgarden.com] or calling [+91 XXXXXXXXXX]. Once an Order has been dispatched, it cannot be cancelled and will be governed by our Return & Refund Policy.

8. Shipping and Delivery

8.1 Delivery timelines shown on the Website are estimates and are not guaranteed. Actual timelines vary with destination, courier network, weather, festivals, and public or regional disruptions.

8.2 Live plants are dispatched only on days that allow safe transit. We may hold a shipment during extreme heat, heavy rainfall, cold waves or extended holiday periods in order to protect the plant, and will inform you of any material delay.

8.3 You must provide a complete, accurate and reachable delivery address and phone number. We are not responsible for delay, loss or damage caused by an incorrect or incomplete address, an unavailable recipient, or refusal to accept delivery.

8.4 Where a live-plant shipment is returned to us as undelivered because of repeated failed delivery attempts, refusal, or an unreachable recipient, the Products may not be re-shippable. In such cases refunds are subject to our Return & Refund Policy and may exclude shipping costs.

8.5 Risk of loss and title in the Products passes to you upon delivery to the address specified in the Order.

8.6 We strongly recommend that you record an unedited unboxing video of the parcel. This materially assists any claim for damage, breakage or shortage.

9. Returns, Replacements and Refunds

9.1 Returns, replacements and refunds are governed by our Return & Refund Policy, available on the Website and incorporated into these Terms.

9.2 Given the perishable and living nature of our core catalogue, claims relating to live plants — including damage in transit, breakage of pots, wrong item, or shortage — must be raised within [48 / 72] hours of delivery, supported by clear photographs and, where available, an unboxing video.

9.3 Subject to the Return & Refund Policy, the following are generally not eligible for return or refund: (a) live plants where the claim is based on natural variation in size, shape or colour, or on temporary transit stress; (b) plant decline arising after delivery from watering, sunlight, drainage, pest, repotting or other care factors; (c) seeds, bulbs, soil, growing media, fertilisers and other opened or consumable goods; (d) items on clearance or marked non-returnable at the time of purchase; (e) claims raised after the stated claim window.

9.4 Approved refunds are processed to the original payment method within [7-10] business days of approval. Actual credit timelines depend on your bank or payment provider.

10. Promotions, Discounts and Gift Cards

10.1 Coupon codes, discounts, offers, loyalty benefits and gift cards are subject to their own stated terms, validity periods and usage limits, and may be withdrawn or modified at any time.

10.2 Unless expressly stated, offers cannot be combined, are non-transferable, and hold no cash value.

10.3 We reserve the right to void any discount, order or account where a code has been obtained or used through misuse, manipulation, bulk abuse or unauthorised distribution.

11. Intellectual Property

11.1 All Content on the Website — including the name and mark "Prakriti's Garden", the logo, product photography, styling, care guides, written copy, layout, design elements and source code — is owned by or licensed to us and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999 and other applicable laws.

11.2 You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Website for personal, non-commercial purposes.

11.3 You must not copy, reproduce, republish, scrape, distribute, transmit, sell, licence, modify or create derivative works from any Content without our prior written permission.

11.4 Use of any automated system — including bots, spiders, scrapers or crawlers — to extract data from the Website is prohibited.

12. User Content, Reviews and Feedback

12.1 By submitting reviews, ratings, photographs, comments or other User Content, you grant us a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to use, reproduce, adapt, publish and display that User Content in connection with our business, including in marketing material, without further consent or compensation.

12.2 You represent that your User Content is your own, is accurate, and does not infringe the rights of any third party.

12.3 You must not post User Content that is unlawful, defamatory, obscene, hateful, misleading, invasive of privacy, or that infringes intellectual property rights.

12.4 We may moderate, edit or remove User Content at our discretion, but are not obliged to monitor it and are not responsible for opinions expressed by users.

12.5 Any suggestions or feedback you provide may be used by us freely and without obligation.

13. Prohibited Conduct

You agree not to:

(a) use the Website for any unlawful, fraudulent or malicious purpose; (b) impersonate any person or misrepresent your affiliation with any person or entity; (c) interfere with, damage, overload or disrupt the Website, its servers or networks; (d) attempt to gain unauthorised access to any part of the Website, other accounts, or connected systems; (e) upload viruses, malware or any harmful code; (f) place speculative, false or fraudulent Orders, or use another person's payment instrument without authority; (g) resell, or purchase for the purpose of resale, without our prior written consent; (h) violate the Consumer Protection Act, 2019, the Information Technology Act, 2000, or any other applicable law in connection with your use of the Website.

14.1 The Website may contain links to third-party websites, plugins, payment gateways, logistics partners and social media platforms. These are provided for convenience only.

14.2 We do not control and are not responsible for the content, accuracy, products, services, security or privacy practices of any third party. Your dealings with third parties are solely between you and them.

15. Disclaimer of Warranties

15.1 The Website and its Content are provided on an "as is" and "as available" basis.

15.2 To the fullest extent permitted by law, and without prejudice to your statutory rights as a consumer under the Consumer Protection Act, 2019, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

15.3 We do not warrant that the Website will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Website is free of viruses or harmful components.

15.4 We do not warrant any particular horticultural outcome, including survival, growth, flowering, fruiting or yield of any plant or seed after delivery.

16. Limitation of Liability

16.1 To the maximum extent permitted by applicable law, Prakriti's Garden, its partners, directors, employees, agents and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for loss of profit, revenue, data, goodwill or opportunity, arising out of or in connection with your use of the Website or any Product.

16.2 Our aggregate liability in respect of any Order shall not, in any event, exceed the total amount actually paid by you for that Order.

16.3 Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by our negligence, or for fraud.

17. Indemnity

You agree to indemnify, defend and hold harmless Prakriti's Garden and its partners, directors, employees and agents from and against any claim, demand, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your violation of any law, or your infringement of any third-party right.

18. Force Majeure

We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, flood, drought, cyclone, extreme heat or cold, fire, epidemic or pandemic, war, civil unrest, strike, courier or transport disruption, power or internet failure, cyber-attack, or any governmental order, quarantine or restriction on the movement of plants or goods.

19. Privacy and Data Protection

19.1 Your personal data is collected, used, stored and disclosed in accordance with our Privacy Policy and applicable Indian law, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023.

19.2 By using the Website, you consent to the processing of your personal data as described in the Privacy Policy.

20. Grievance Redressal

In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000 and rules thereunder, the details of our Grievance Officer are:

21. Governing Law and Dispute Resolution

21.1 These Terms are governed by and construed in accordance with the laws of India.

21.2 The parties shall first attempt to resolve any dispute amicably through good-faith discussion within 30 days of written notice.

21.3 If the dispute is not resolved, it shall be referred to arbitration by a sole arbitrator appointed under the Arbitration and Conciliation Act, 1996. 23. General

23.1 Severability. If any provision of these Terms is held invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force.

23.2 Waiver. Our failure to enforce any provision shall not constitute a waiver of that provision or of any other right.

23.3 Assignment. You may not assign your rights under these Terms. We may assign ours to any successor, affiliate or acquirer of our business.

23.4 Entire agreement. These Terms, together with the Privacy Policy, Shipping Policy and Return & Refund Policy, constitute the entire agreement between you and us regarding the Website and supersede all prior understandings.

23.5 Survival. Clauses relating to intellectual property, User Content licence, disclaimers, limitation of liability, indemnity, governing law and dispute resolution survive termination.
